Overview
Have you considered how your practice will operate if you have an emergency where you are not able to work or where you need to be out of the office for an extended period? Who will help you with business operations and client management if you become unavailable? Also, what does retirement mean to you? Have you considered transitioning your practice to the next generation or do you want to sell it? Will you just turn off the lights and close the door on your last day?
A majority of law firms of various sizes are neglecting the essential need for strategic planning for business and emergency purposes. Failure to actively plan for succession can negatively impact your practice in many ways, including creating business disruptions, client dissatisfaction, and a decline in associate retention.
Lawyers have an ethical duty to take steps to protect their clients in the event of sudden disability or death. Having proper business and emergency succession plans will ensure your clients are protected and will reduce your risk of committing ethical violations. This is particularly critical for solo attorneys who may need to consider creating plans which involve individuals outside of their firm.
The problems encountered by judges, Bar Association executives and officers, Disciplinary Board members, and colleagues at the Bar have become overwhelming, due to the many attorneys who have not yet planned for an interruption of their ability to work and/or their retirement. As a result, increasing pressure is being applied by insurers, the Bench, and the Disciplinary Board to enforce compliance.
This course will cover the essential steps and best practices to properly create your strategic plans, no matter what size practice you have.
This course discusses important business and emergency planning procedures, including how to preplan to continue to run your office while you are sick, injured or disabled, how to preplan for your retirement, and how to run your practice as part of the administration of your estate. Buyout, emergency coverage and succession planning for partners is also discussed. This course explains your obligations and provides specific details about what you need to do, and how to do it. Attendees will be provided with practical information and forms which can be put to immediate use at your firm to make compliance easier and to ensure you are taking all measures to best protect your clients and your practice. The seminar materials include the Surrogacy Planning Toolkit, normally available only to PBA members.

Kristine L. Calalang, Esq.
Kristine L. Calalang has dedicated her law practice to family law matters since 2004. She provides her clients with strong advocacy, compassion, and empathy. Ms. Calalang is passionate about serving in leadership positions to help elevate the legal profession, promote fellowship in the legal community, and support philanthropic endeavors. She has strong leadership roles in the Pennsylvania Bar Association (PBA), serving as a Zone 1 member of the House of Delegates, Co-Chair of the Legal Academics Committee, and the Diversity Liaison and Co-Chair of the Diversity Task Force of the Family Law Section. Additionally, Ms. Calalang is the Diversity Liaison for the PBA Minority Bar Committee and the Co-Chair of the Diversity Committee of the Women in the Profession Commission. She is also in leadership in the Philadelphia Bar Association, currently serving as the Vice Chancellor and having served as a Member of the Board of Governors and 2022 Board Chair, Co-Chair of the Women in the Profession Committee, and Co-Chair of the Solo and Small Firm Management Committee. Ms. Calalang also served as the 2019 Chair of the Family Law Section and continues to serve as a member of the Section’s Executive Committee, Co-Chair of the Custody Committee, Co-Chair of the Diversity Committee, and founding member of the Diversity Inclusion Scholarship Committee. Ms. Calalang further serves as a member of the Philadelphia Bar Association’s Judicial Selection and Retention Commission and is an active member of Villanova University Charles Widger School of Law’s alumni boards. She often plans and presents programs for the PBA, Pennsylvania Bar Institute, Philadelphia Bar Association, and other legal groups.
Thomas J. Farrell, Esq.
Thomas J. Farrell was appointed Chief Disciplinary Counsel for the Attorney Disciplinary Board of the Commonwealth of Pennsylvania in 2020. In this role he oversees disciplinary counsel and other staff throughout the four disciplinary districts in the Commonwealth. Before his appointment, Mr. Farrell was law clerk to the Honorable Gustave Diamond of the U.S. District Court in the Western District of Pennsylvania; a public defender in Brooklyn, NY; an Assistant United States Attorney in Pittsburgh; and or twenty-years a lawyer in a small-firm private practice active in complex civil and criminal matters, handling cases ranging from capital murder to public corruption and complex white-collar crimes, the defense of lawyers and doctors, whistle-blower cases, and appearances before Congressional committees which were investigating the use of performance-enhancing drugs in Major League Baseball. He is the author of Criminal Defense Tools and Techniques (James Publishing 7th ed. 2017), and co-author of the Third Circuit Criminal Handbook (Matthew Bender, Rev. Ed. 2018) as well as numerous professional articles on ethics and criminal practice and procedure. He sits on the boards of non-profit organizations which aim to assist citizens returning from prison in their re-entry. He teaches Professional Responsibility as an adjunct professor at the Thomas R. Kline Duquesne University School of Law. Mr. Farrell received his B.A. degree from Yale University and his J.D. from the New York University School of Law.
Josh J. T. Byrne, Esq.
Mr. Byrne is a member of the Professional Liability Department at Marshall Dennehey Warner Coleman & Goggin, P.C. and Chair of the Disciplinary Board Practice where he concentrates his practice on representing and defending professionals in a variety of professional liability matters. Mr. Byrne regularly represents attorneys in legal malpractice, wrongful use of civil proceedings and disciplinary matters. He also represents many other types of professionals in the federal and state courts in Pennsylvania and New Jersey and before disciplinary boards. Mr. Byrne has devoted his legal career to the protection of professionals and is highly regarded in this arena throughout the state. He is the Chair of the Pennsylvania Bar Association’s Professional Liability Committee, Co-Chair of the Philadelphia Bar Association’s Professional Responsibility Committee, former Co-Chair of the Philadelphia Bar Association’s Professional Guidance Committee, and is an active member of Pennsylvania Bar Association’s Ethics Committee. He is also a Co-Chair of the Pennsylvania Bar Association’s Amicus Brief Committee. Mr. Byrne is a former Hearing Committee Member serving the Disciplinary Board of the Supreme Court of Pennsylvania. He serves as a Zone One delegate to the Pennsylvania Bar Association’s House of Delegates and as a Judge Pro Temp for the Philadelphia Court of Common Pleas. A prolific writer, Mr. Byrne publishes extensively on malpractice avoidance and authors a recurring column in The Legal Intelligencer on professional liability topics. He frequently presents to legal and business organizations throughout Pennsylvania on professional liability themes. Mr. Byrne graduated with a dual major in Political Science and Japanese Studies From Earlham College in Richmond, Indiana. After college, he worked for two years as a coordinator for international relations in Chiba, Japan. He then obtained his juris doctor from Rutgers University School of Law. He is rated AV-Preeminent by Martindale-Hubbell, the highest rating for professional competence
Ellen Freedman, CLM
Ellen serves as the Law Practice Management Coordinator for the Pennsylvania Bar Association. In that capacity she assists PBA’s members with management issues and decisions on the business side of their practice, including areas like technology, financial management and profitability, human resources, marketing, risk management, setting up a practice and so forth. Ellen is founder and President of Freedman Consulting, which assists PA law firms with a full range of issues and projects on the business side of the practice. Ellen holds the designation of Certified Legal Manager through the Association of Legal Administrators (ALA), the credentialing body for the CLM degree. She holds a Certification in Computer Programming from Maxwell Institute, and a Certification in Web Site Design and a B.A. from Temple University. Ellen was inducted as a Fellow of the College of Law Practice Management in October 2020. Membership in the College is by invitation only. Eligible nominees include those who have made significant contributions to the field of law practice management for over ten years. Since its establishment over twenty years ago, nearly 300 practitioners from 5 different countries have become Fellows of the College. Ellen managed inside law firms for twenty years. Most of that time was spent in a midsize (35+ attorney) firm environment. She launched her consulting practice in 1998 and joined the Pennsylvania Bar Association in 1999. She was a member of the Association of Legal Administrators for over 20 years and founded the Independence Chapter. She is a frequent author and speaker on law firm management issues on a national level.
